2nd <strong>quarter</strong> 1<strong>99</strong>9 highlights<br />
RTV looks back <strong>on</strong> a highly successful sec<strong>on</strong>d <strong>quarter</strong>. The dynamic<br />
revenue and profit growth posted in the 1st <strong>quarter</strong> of the<br />
year was improved <strong>on</strong> in several areas. Foreign revenues rose by<br />
some 180% compared to the previous year’s figure. At DM 6.3<br />
milli<strong>on</strong> (Euro 32 milli<strong>on</strong>), the result from ordinary activities was<br />
90% up <strong>on</strong> the previous year’s DM 3.3 milli<strong>on</strong> (Euro 1.7 milli<strong>on</strong>).<br />
The improved standing am<strong>on</strong>g customers and partners as well as<br />
the IPO proceeds helped RTV close several strategic cooperati<strong>on</strong>s<br />
and push ahead internati<strong>on</strong>al expansi<strong>on</strong>.<br />
Successful IPO<br />
RTV shares have been tra<strong>de</strong>d <strong>on</strong> Frankfurt’s New Market since<br />
June 8, 1<strong>99</strong>9 when Deutsche Bank listed the company and placed<br />
2,875,000 shares. All the new shares were created by way of a<br />
capital increase. The IPO generated proceeds of DM 46.7 milli<strong>on</strong><br />
for RTV.<br />
The shares were issued at Euro 8.3 and rose to Euro 24,9 <strong>on</strong> the<br />
first day of trading. Within a few days from the initial listing the<br />
greenshoe opti<strong>on</strong> for another 375,000 shares was fully exercised<br />
to satisfy the str<strong>on</strong>g domestic and internati<strong>on</strong>al <strong>de</strong>mand. Investors<br />
who bought the share at the issue price were able to more than<br />
quintuple their initial investment by June 30, 1<strong>99</strong>9.<br />
Internati<strong>on</strong>al partnerships strengthen positi<strong>on</strong><br />
in the USA and Canada<br />
RTV was a sought-after partner at MIP TV in Cannes in April 1<strong>99</strong>9<br />
and was therefore able to expand its internati<strong>on</strong>al network of producti<strong>on</strong><br />
partners and customers. The company signed a large<br />
number of promising cooperati<strong>on</strong> agreements with internati<strong>on</strong>al<br />
partners at Europe’s biggest film and TV tra<strong>de</strong> fair. Highlights <strong>on</strong><br />
this list inclu<strong>de</strong>: "Molly O!", a coproducti<strong>on</strong> with Sunbow/S<strong>on</strong>y<br />
W<strong>on</strong><strong>de</strong>r, USA, (producti<strong>on</strong> start in summer 1<strong>99</strong>9, completi<strong>on</strong> in<br />
2000); "Rotten Ralph", a turbulent carto<strong>on</strong> series coproduced with<br />
the BBC and Italto<strong>on</strong>s, USA; "The Nits" with Energee, Australia; as<br />
well as "Urban Squirrel", a carto<strong>on</strong> series coproduced with JP Kids<br />
and Disney Channel, USA. To strengthen its internati<strong>on</strong>al sales<br />
presence particularly in South-eastern Europe, RTV signed a cooperati<strong>on</strong><br />
<strong>de</strong>al with SPI, USA.<br />
"Philipp" goes America<br />
RTV signed a 5-year agreement with Itsy bitsy Entertainment<br />
Company, USA with respect to "Philipp", a show <strong>de</strong>veloped<br />
and produced by RTV. Starting September 1<strong>99</strong>9, more than 75<br />
milli<strong>on</strong> households in the USA, Canada and Latin America will<br />
be able to enjoy "Philipp" <strong>on</strong> the 90-minute "It's itsy bitsy<br />
Time!" magazine <strong>on</strong> Fox Family Channel.<br />
Important licensing agreement<br />
"Fix & Foxi" will so<strong>on</strong> take centre-stage <strong>on</strong> the shelves at cooperating<br />
Ve<strong>de</strong>s toy and leisure shops. Ve<strong>de</strong>s, Europe’s largest<br />
distributi<strong>on</strong> and retail group for toys and leisure products, has<br />
acquired licensing rights to "Fix & Foxi" for a large part of its<br />
own indoor and outdoor toy ranges. From spring 2000, the<br />
licensed merchandise will be available at virtually all specialist<br />
toy shops in Germany. "Fix & Foxi" licenses have also been<br />
acquired by Ravensburger Buch- und Spieleverlag,<br />
Ravensburger Interactive Media and Ravensburger Spieleland.<br />
Together with the upcoming publicati<strong>on</strong> of new "Fix & Foxi"-<br />
carto<strong>on</strong> books, RTV’s cooperati<strong>on</strong> with these partners provi<strong>de</strong>s<br />
an excellent basis for a sustained and successful presence<br />
in the market.<br />
"Fix & Foxi" sold to 25 countries<br />
"Fix & Foxi" will so<strong>on</strong> enjoy a worldwi<strong>de</strong> exposure <strong>on</strong> TV. The<br />
first series of carto<strong>on</strong> episo<strong>de</strong>s has already been sold to 25<br />
countries even though producti<strong>on</strong> will not be completed<br />
before autumn 1<strong>99</strong>9. Apart from German-speaking TV channels,<br />
buyers inclu<strong>de</strong> broadcasters in Britain, Canada and<br />
Spain as well as in important new markets in Japan, China<br />
and Korea.<br />
Selling of the year’s sec<strong>on</strong>d major project, "Brothers Flub", is<br />
proceeding just as smoothly. The carto<strong>on</strong> show featuring two<br />
intergalactic postmen has meanwhile been sold to<br />
Nickelo<strong>de</strong><strong>on</strong>, USA, as well as to Australia, France and Britain.<br />
The company<br />
RTV <strong>de</strong>velops and produces films and TV programmes for<br />
kids and families, c<strong>on</strong>centrating <strong>on</strong> high-quality carto<strong>on</strong><br />
shows which are suitable for internati<strong>on</strong>al marketing. RTV is a<br />
fully integrated operator, handling everything from rights<br />
creati<strong>on</strong> to merchandising and relying <strong>on</strong> a comprehensive<br />
network of coproducers and broadcasters. As such, RTV is a<br />
leading supplier of kids’ and family entertainment in<br />
Germany.<br />
TV business (producti<strong>on</strong>, commissi<strong>on</strong>ed producti<strong>on</strong>s, distributi<strong>on</strong>)<br />
The positive <strong>de</strong>velopment in producti<strong>on</strong>s and commissi<strong>on</strong>ed<br />
producti<strong>on</strong>s c<strong>on</strong>tinued in the sec<strong>on</strong>d <strong>quarter</strong> of 1<strong>99</strong>9. This<br />
year’s major projects have been marketed successfully <strong>on</strong> an<br />
internati<strong>on</strong>al scale, agreements for follow-up producti<strong>on</strong>s<br />
have been c<strong>on</strong>clu<strong>de</strong>d, and first-class rights have been acquired.<br />
All these measures represent solid stepping st<strong>on</strong>es<br />
towards the future. Generating revenues of DM 14.9 milli<strong>on</strong><br />
(Euro 7.6 milli<strong>on</strong>) - up 12% <strong>on</strong> the previous year’s value - the<br />
TV business c<strong>on</strong>tributed 83% of RTV’s total revenues.<br />
New producti<strong>on</strong> activity in the first-half of 1<strong>99</strong>9 has centred<br />
<strong>on</strong> "Fix & Foxi I", "Brothers Flub", "Inspector Mouse" and<br />
"Patrol 03", all of which have already been sold to the key<br />
markets. The purchase of the "Bussi Bear" rights from Rolf<br />
Kauka as well as the acquisiti<strong>on</strong> of the "Am<strong>on</strong> und Skarabä"<br />
property have materially enhanced the value of RTV’s programme<br />
stock.<br />
In additi<strong>on</strong> to these new producti<strong>on</strong>s, the company <strong>de</strong>ci<strong>de</strong>d<br />
to c<strong>on</strong>tinue several successful programmes. Preparati<strong>on</strong>s for<br />
the producti<strong>on</strong> of another 26 "Fix & Foxi" episo<strong>de</strong>s are already<br />
un<strong>de</strong>r way. RTV’s pipeline currently inclu<strong>de</strong>s new episo<strong>de</strong>s<br />
of the top-selling "Countrymouse/ Citymouse" and<br />
"Babaloos" shows. "Philipp’s Animal Hour", a commissi<strong>on</strong>ed<br />
producti<strong>on</strong> launched several years ago, will be c<strong>on</strong>tinued in<br />
1<strong>99</strong>9 as well.
Merchandising business<br />
The merchandising activities were clearly expan<strong>de</strong>d in the<br />
sec<strong>on</strong>d <strong>quarter</strong> of 1<strong>99</strong>9. Apart from a more intensive exploitati<strong>on</strong><br />
of existing rights, RTV secured numerous attractive<br />
new licenses. Generating revenues of DM 3.1 milli<strong>on</strong> (Euro<br />
1.6 milli<strong>on</strong>), the merchandising business c<strong>on</strong>tributed 17% of<br />
RTV's total revenues. Compared to the previous year’s figure<br />
of DM 2.0 milli<strong>on</strong> (Euro 1 milli<strong>on</strong>), revenues were up by<br />
55%.<br />
The successful marketing of the "Fix & Foxi" rights provi<strong>de</strong>d<br />
the highlight in the sec<strong>on</strong>d <strong>quarter</strong> of 1<strong>99</strong>9 when RTV was<br />
able to sign a comprehensive agreement with Ve<strong>de</strong>s regarding<br />
the marketing of the two inseparable little foxes. The<br />
two classic characters, "Captain Bluebear" and "Philipp", <strong>on</strong>ce<br />
again proved their potential. New additi<strong>on</strong>s to the portfolio<br />
inclu<strong>de</strong>d licenses for "Verstehen Sie Spaß?", "Michael<br />
Schanze", "Die Knickerbocker-Ban<strong>de</strong>" and the character<br />
"Penny" created by children’s book author Thomas Brezina.<br />
Sales and profits<br />
The sec<strong>on</strong>d <strong>quarter</strong> of 1<strong>99</strong>9 saw RTV c<strong>on</strong>tinue the first <strong>quarter</strong>s<br />
str<strong>on</strong>g growth across all fields of business and markets.<br />
In the first six m<strong>on</strong>ths of the current financial year RTV recor<strong>de</strong>d<br />
sales of DM 18.0 milli<strong>on</strong> (Euro 9.2 milli<strong>on</strong>). This represents<br />
an 18% increase <strong>on</strong> the previous year’s DM 15.3 milli<strong>on</strong><br />
(Euro 7.7 milli<strong>on</strong>). This outcome was supported, in particular,<br />
by the exceedingly positive <strong>de</strong>velopment of foreign sales<br />
which came in at DM 5.4 milli<strong>on</strong> (Euro 2.8 milli<strong>on</strong>). This<br />
means that RTV generated 80% of the previous year’s fullyear<br />
sales already in the first half of 1<strong>99</strong>9. The merchandising<br />
business improved clearly <strong>on</strong> the previous year’s figures as<br />
well.<br />
Profits showed a highly gratifying <strong>de</strong>velopment. The result<br />
from ordinary activities amounted to DM 6.3 milli<strong>on</strong> (Euro<br />
3.2 milli<strong>on</strong>) in the reporting period. This represents a 90%<br />
increase over the previous year’s period (DM 3.3 milli<strong>on</strong>,<br />
Euro 1.7 milli<strong>on</strong>). This means that RTV has posted more than<br />
80% of the forecast 1<strong>99</strong>9 profit already in the first six m<strong>on</strong>ths<br />
of 1<strong>99</strong>9.<br />
Apart from a newly adopted <strong>de</strong>preciati<strong>on</strong> policy and clearly<br />
lower costs of materials, the impressive profit growth reflects<br />
str<strong>on</strong>g license sales, incoming cash flow from producti<strong>on</strong>s<br />
such as "Philipp", "Fix & Foxi" and "Brothers Flub" as well as<br />
excellent merchandising results.<br />

Cash-flow<br />
The DVFA/SG result for the first six m<strong>on</strong>ths of 1<strong>99</strong>9 amounted<br />
to DM 2.8 milli<strong>on</strong> (Euro 1.4 milli<strong>on</strong>), compared to DM 1.3<br />
milli<strong>on</strong> (Euro 0.677 milli<strong>on</strong>) in the previous year. This result<br />
does not recognize the extraordinary IPO expenses. The<br />
DVFA/SG cash flow amounted to DM 5.0 milli<strong>on</strong> (Euro 2.6<br />
milli<strong>on</strong>) in the first half of 1<strong>99</strong>9, compared to DM 1.4 milli<strong>on</strong><br />
(Euro 0.730 milli<strong>on</strong>) in the same period of the previous year.<br />
Employees<br />
RTV employed a total of 23 people as at June 30, 1<strong>99</strong>9, including<br />
15 in Ravensburg and eight at the Mainz branch office.<br />
Outlook<br />
The next <strong>quarter</strong> will see c<strong>on</strong>tinued marketing efforts for<br />
"Fix & Foxi". Working in close cooperati<strong>on</strong> with the main<br />
licensees, Ve<strong>de</strong>s and Ravensburger <strong>AG</strong>, RTV will ensure comprehensive<br />
marketing of the two popular characters and their<br />
friends. Additi<strong>on</strong>al licensing <strong>de</strong>als which are still at the negotiating<br />
stage will ensure additi<strong>on</strong>al exposure in the Germanspeaking<br />
markets.<br />
Opportunities for intensive merchandising at home and abroad<br />
will also be created by the license sales for other cult and<br />
trend programmes such as "Brothers Flub" and "Philipp".<br />
RTV expects favourable stimulati<strong>on</strong> for the internati<strong>on</strong>al marketing<br />
of its own characters and producti<strong>on</strong>s as well as new<br />
coproducti<strong>on</strong>s and partnerships from MIPCOM, the internati<strong>on</strong>al<br />
televisi<strong>on</strong> fair taking place in Cannes in October.<br />
Effective September 1, 1<strong>99</strong>9, the RTV board will be expan<strong>de</strong>d<br />
in or<strong>de</strong>r to have the management resources required to meet<br />
the growth targets. Dr. Arno Haselhorst will be in charge of<br />
finances, investor relati<strong>on</strong>s and merchandising.<br />
As regards the full year 1<strong>99</strong>9, RTV expects to post positive<br />
revenue and profit growth. The company has invested DM 5.9<br />
milli<strong>on</strong> (Euro 3.0 milli<strong>on</strong>) in programme activities - documentaries,<br />
commissi<strong>on</strong>ed producti<strong>on</strong>s, films and carto<strong>on</strong>s - already<br />
during the current financial year. Building <strong>on</strong> its strategic<br />
partnerships, RTV is now looking forward to dynamic growth<br />
far bey<strong>on</strong>d the next two <strong>quarter</strong>s.<br />
